ProAmpac to Acquire TC Transcontinental Packaging for $1.5 Billion

Dec. 8, 2025 - ProAmpac has signed a definitive agreement to acquire TC Transcontinental Packaging ("TCP") from TC Transcontinental for US$1.51 billion (approx. CAD$2.1 billion), subject to customary adjustments for debt and debt-like items, cash, and net working capital.

Headquartered in Chicago, Illinois, TC Transcontinental Packaging operates 25 production plants, located throughout North America, Latin America, the United Kingdom, and New Zealand, which specialize in extrusion, printing, lamination, converting, and recycling. The company offers a wide variety of flexible products, serving customers across the dairy, coffee, meat and poultry, pet food, agriculture, beverage, home and personal care, consumer, and medical markets.

TCP generated approximately US$1.2 billion in revenue during the last 12 months ended July 27, 2025.

According to ProAmpac, TCP is a strong strategic fit that will add advanced capabilities in the dairy, meat, medical, and pharmaceutical end markets, as well as manufacturing capacity in North America, Latin America, the United Kingdom, and New Zealand. The combination will further accelerate ProAmpac's development of next-generation packaging, including barrier films, mono-material structures, and fiber-based solutions, to help its customers meet their value creation and sustainability goals.

The transaction is expected to close in the first quarter of calendar 2026, subject to shareholder approval, regulatory approvals and other customary conditions.
